The Top Used Entities are:​

  1. Corporation (Sociedad Anónima): Colombian or Foreigner can be Shareholder, minimum of five people, no personal liability. in command of Corporate is General Assembly of shareholders, Leadership is Driven by a Legal Representative and CEO/Manager/Director (same or different as preferred) and a board designated by them, An auditor enforced. Intended for large enterprises, Sizable Investments or Controlled institutions (finance, insurance, services, health, etc), subject to control by Superintendencia de Sociedades and or, Financiera along Specific Supervision Institutions in some types of Tasks assigned by law.

  2. Simplified Stock Company (Sociedad Anonima Simplificada) : Versatile and Flexible company, can operate in small or large invest for commercial/trade/investment/services and more. Shareholders with no personal liability. A simplified stock company must have at least one Shareholders General Assembly as the highest corporate body and a legal representative. It can have a board of directors if shareholders require it. A minimum of one shareholder is required, no maximum required. ​

 

Other Less used Entites Available Are:

  3. General partnership (Sociedad Colectiva)

  4. Limitad partnership (Sociedad en Comandita Simple y por Acciones)

 

  5. Limited Liability Company (Sociedad de Responsabilidad Limitada).

Keep in Mind; All of them are subject to specific laws and proceeds and Some are widely used.

  • In commonly used cases companies will be required to be put in written though Public Notary Deed or Private Document.​

  • All of them signed by founders and initial shareholders and designated representatives’ letters of acceptance.

  • Once signed being registered at Chamber of Commerce and the filed at DIAN for TAX ID Number Assignment,

  • Also Accounting Books, Shareholders Book and Registered Book of Acts of the Company board registered at Chamber of Commerce required.

  • Bank Acct either Savings or Check required for operations.

  • For Invoicing purposes, all companies must obtain from DIAN a Serial Number Invoicing Designated Range.

Funding: Be Extremely careful on how your company will be funded, this is subject to several laws regarding Assets, Taxing, Expenses, Import Proceeds when coming from Abroad. ​ this has to be addressed case by case, it can or will affect your rights, your immigration status, your pocket and more important will be very time consuming to fix if done incorrectly.
